Welcome to Staley Electric’s website. These Terms of Service (“Terms” or “Agreement”) govern your access to and use of staleyelectric.com and all services provided by Staley Electric Services, LLC (“Staley Electric,” “we,” “our,” or “us”) to you. By accessing our website, scheduling service, or engaging with Staley Electric, you acknowledge, represent, and agree that you have read and understand these terms, are 18 years of age or older and of legal age to enter into a binding agreement, and are legally bound by this Agreement. If you do not agree, please discontinue use of our website and services.

  1. Staley Electric Services

Staley Electric provides electrical services for residential, commercial, and industrial clients, including but not limited to:

  • Electrical troubleshooting and repair
  • Installations, upgrades, and rewiring
  • Generator sales, installation, and maintenance
  • Safety inspections
  • Preventative maintenance
  • Emergency electrical services
  • Membership programs (Staley Shield)
  • Community programs (SOAR Program)

All services are scheduled and performed based on technician availability and customer location.

  1. Quotes, Pricing & Billing

3.1 Estimates
Staley Electric may provide written or verbal estimates before performing work. Estimates are not guarantees and final pricing may vary based on conditions found during service.

3.2 Pricing & Acceptance
By allowing our technicians to begin work, you agree to the pricing presented at the time of service.

3.3 Payment Terms
Payment is due upon completion of service unless otherwise agreed in writing. Staley Electric accepts major credit cards, checks, and financing options approved by Staley Electric.

3.4 Late or Declined Payments
All late payments shall bear interest at the lesser of (a) the rate of 1% per month and (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. You agree that a service fee will be charged to you for any returned checks. You also agree to reimburse Staley Electric for all reasonable costs incurred in collecting any late payments, including, without limitation, attorney fees. In addition to all other remedies available under this Agreement or at law (which Staley Electric does not waive by the exercise of any rights hereunder), Staley Electric shall be entitled to suspend the provision of any Services if the Customer fails to pay any amounts when due. 

  1. Customer Responsibilities

You agree to:

  • Provide safe and reasonable access to the service area;
  • Provide accurate information regarding your property and electrical systems;
  • Respond promptly to any reasonable requests from Staley Electric for instructions, information, or approvals required by Staley Electric to provide the Services;
  • Notify Staley Electric of any hazardous conditions; and 
  • Ensure pets, valuables, and sensitive items are secure.

Failure to do so may result in additional charges, rescheduling, or denial of service.

  1. Warranty & Guarantee

Staley Electric stands behind the quality of our workmanship. Warranty terms may vary depending on service type, materials used, and manufacturer specifications. Staley Electric a limited workmanship warranty on services performed which will be provided to you in writing with a written estimate before Staley Electric provides those services. This warranty does not cover:

  • Customer-supplied materials;
  • Damage caused by misuse, vandalism, accident, neglect, or third-party work (i.e., work performed by anyone other than a Staley Electric Representative); or  
  • Environmental events (including damages caused by fires, storms, power surges, or other “Acts of God”).

Any applicable warranties for products (e.g., Kohler generators) purchased in connection with Staley Electric Services are governed by the manufacturer’s terms and conditions.    

UNLESS OTHERWISE EXPRESSLY PROVIDED IN A SEPARATE WRITING BY STALEY ELECTRIC, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, STALEY ELECTRIC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

  1. Staley Shield Membership Program

Membership benefits (including priority scheduling, service discounts, and annual safety inspections) are subject to the terms provided at the time of enrollment. Staley Electric reserves the right to modify or discontinue membership benefits with notice.

  1. SOAR Program Disclosure

The SOAR Program (Staley Opens Its Heart for Arkansas) donates a percentage of qualifying service bills to selected organizations when properly referenced at the time of booking. Staley Electric may adjust program partners or donation percentages at any time.

  1. Emergency & After-Hours Services

Emergency and after-hours services may incur additional charges. Estimated arrival times for emergencies are not guaranteed due to workload, distance, and safety considerations.

  1. Website Use Terms

By accessing staleyelectric.com, you agree that:

  • You will not misuse or attempt to disrupt website functionality.
  • Content provided is owned by or licensed to Staley Electric.
  • You may not copy, reproduce, or distribute content without written permission.
  • All information submitted (e.g., via contact forms) by you will be accurate.
  • You are responsible for any information you provide to us.

Staley Electric may modify, update, suspend, or discontinue website features, pricing, or information at any time, temporarily or permanently,with or without prior notice. You agree that Staley Electric shall not be liable to you or to any third party for any such modifications, updates, suspensions, or discontinuances. 

Staley Electric provides no warranty and makes no representation of any kind that the website will meet your requirements, achieve any intended results, be compatible, or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free, or that any errors or defects can or will be corrected.  

 

  1. Cancellations & Rescheduling

We ask that customers provide at least 24 hours’ notice for cancellations or rescheduling. Repeated cancellations or no-shows may result in additional fees or denial of future service.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Staley Electric or its affiliates, or any of its or their respective employees, agents, or representatives have any liability arising from:

(a) personal injury, property damage, lost profits, cost of substitute goods or services, loss of data, loss of goodwill, business interruption, computer failure or malfunction, or any other consequential, incidental, indirect, exemplary, special, or punitive damages;

(c) damages resulting from customer negligence or unsafe conditions;

(c) delays caused by weather, supply chain issues, or utility provider actions; or

(d) damage to outdated, already-compromised, or unsafe electrical components.

The foregoing limitations will apply whether such damages arise out of breach of contract, tort (including negligence), or otherwise and regardless of whether such damages were foreseeable or Staley Electric was advised of the possibility of such damages.   

IN NO EVENT SHALL STALEY ELECTRIC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO SERVICES PROVIDED, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Staley Electric and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorney fees, arising from or relating to your negligence, misuse of electrical systems, unsafe or undisclosed property conditions, your violation of these Terms. 

You further agree to indemnify, defend, and hold harmless Staley Electric and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorney fees, arising from or relating to your use or misuse of the Website or your breach of this Agreement, including but not limited to any content you submit or make available through the Website. You further agree to indemnify, defend, and hold harmless Staley Electric and its employees, officers, and agents from any claims, damages, or losses arising out of:

  1. Termination of Services

Staley Electric may decline or terminate service at any time for:

  • Unsafe working conditions;
  • Customer misconduct or harassment;
  • Nonpayment or repeated late payments; or
  • Violation of these Terms.
  1. Privacy Policy

Personal information collected through our website, phone, email, or service interactions is governed by our Privacy Policy, available on our website. By using our services, you consent to the collection and use of information as described there.

  1. Changes to Terms of Service

Staley Electric may update or modify these Terms at any time. Any changes will be posted on this page with an updated Effective Date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

  1. Contact Information

All notices, requests, consents, claims, demands, waivers, and other communications under this Agreement (each, a “Notice”) must be in writing and addressed to Staley Electric at its address set forth below and delivered by personal delivery, nationally recognized overnight courier or certified or registered mail (in each case, return receipt requested, postage prepaid). Except as otherwise provided in this Agreement, a Notice is effective only (a) on receipt by the receiving Party; and (b) if the Party giving the Notice has complied with the requirements of this section.

  1. Severability. 

If any provision of this Agreement is determined to be illegal or unenforceable under applicable law, including without limitation the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.   

  1. 18. Governing Law

This Agreement is governed by and construed in accordance with the internal laws of the State of Arkansas without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arkansas in each case located in Little Rock, Arkansas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

  1. Entire Agreement

These Terms of Service constitute the entire agreement between you and Staley Electric with respect to your use of the Website and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the same. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

  1. Waiver

No failure to exercise, and no delay in exercising, on the part of Staley Electric, any right or any power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right or power hereunder preclude further exercise of that or any other right hereunder.  

  1. Force Majeure

Staley Electric is not responsible for any delay or interruption of Services provided that are caused by weather, fire, earthquake, or any other event beyond its control.

  1. Survival

The terms and conditions contained in this Agreement that by their sense and context are intended to survive the performance hereof by either or both parties shall so survive the expiration or earlier termination of the term of this Agreement.

  1. Execution of Agreement

This Agreement is considered executed at the time you check the box “I accept Staley Electric’s Terms of Use.”
